Armstrongs is the pre-eminent legal firm in Botswana in the disciplines of corporate law, tax law, securities and financial services regulation, privatisation and public private partnerships. Armstrongs has been integrally involved in the initial development of the Botswana Stock Exchange ("BSE") and the development of the insurance and collective investment undertaking industries, and the International Financial Services Centre, and applicable legislation and regulatory regimes. 

We are pre-eminent in the field of privatization having assisted with the formulation of the Government Policy on Privatization, and advised on the proposed merger of the National Development and Botswana Savings Banks, and the proposed privatisation of Air Botswana and Botswana Telecommunications Corporation. 

We have been involved in numerous applications to the Central Bank for banking licenses, and applications to the Botswana International Financial Services Centre for certification of companies as international financial services centre companies. 

As legal advisor to the overwhelming majority of share note and bond issues which have been listed on the Botswana Stock Exchange and the Government bond issues, the firm has vast experience in local banking law, the application in Botswana of the Basel Conventions, the Botswana Stock Exchange Listing Requirements and the Botswana International Financial Services Centre, Companies, Income Tax, Non Banking Financial Institutions Authority Acts. 

We are legal advisor to a number of pre-eminent BSE listed and unlisted companies in Botswana on a wide range of corporate issues ranging from BSE compliance, corporate governance, acquisitions, takeovers, sell-downs, due diligence reviews, to post acquisition implementation strategies and income tax structuring. Included within these advisory mandates have been the preparation and submission of various compatibility reports and due diligence findings. 

We are local legal counsel to many global and international law firms and institutions advising on the Botswana securities regulatory environment, comparing same to the environment existent in other countries (such as the Securities Exchange Commission (SEC) rules and regulations in the United States of America). 

The firm has acted as advisor to the Banks Consultative Committee in respect of the National Clearance and Settlement Systems Act, the establishment of and rules for the Electronic Clearing House, and the sale and purchase of qualifying securities between banks with the Central Bank as central depository, in terms of purchase and repurchase agreements. 

Always at the leading edge of developments in the commercial legal field in Botswana, we proposed and implemented the listing of the first variable rate loan stock company, the first dematerialised note issue, the first issue of collateralised debt obligations, and was involved in the implementation of the first issue of bonds by the Government of Botswana, working closely with the Ministry of Finance and Development Planning, the Bank of Botswana and Attorney Generals Chambers. 

We are counsel to the majority of multi-national and domestic companies operating in the resources sector with a thoroughgoing knowledge of the Mines and Minerals Act and related legislation and frequently liaise with the Ministry of Minerals, Energy and Water Resources, and the departments thereof on behalf of our clients. 

 The firm has assisted numerous international organisations and associations (such as World Bank, IFC, Lex Mundi, Yale and Harvard Universities) and international corporates such as Barclays Bank Plc, Standard Chartered Plc, Citigroup, Citadel and Renaissance) with imperative studies of Botswana legislation and investigations with regard to legal and regulatory regimes in the country. 

On behalf of private sector clients the firm has led contractual negotiations with Government for the procurement by Government of services and goods. The litigation, arbitration and dispute resolution department of the firm has been involved in numerous arbitrations in respect of engineering services or building works to Government, and has vast experience in the drafting and interpretation of procurement contracts.
